MEARVK LLC – Public License Based on CC BY‑NC‑ND 4.0

1. Purpose & Applicability

This License governs the Authorized User’s rights and obligations when accessing, using, reproducing, or distributing the Protected Material.
It preserves the full legal effect of the Creative Commons Attribution–NonCommercial–NoDerivatives 4.0 International License while expressing its terms in MEARVK LLC’s standardized IPC structure and terminology.

This License applies only to the Protected Material to which the Source Rights Holder has applied this License.

2. Defined Terms

2.1 Protected Material
The artistic, literary, database, or other copyright‑protected content made available under this License.

2.2 Authorized User
Any individual or entity exercising Authorized Rights under this License.

2.3 Source Rights Holder
The individual(s) or entity(ies) granting rights under this License.

2.4 Authorized Rights
All copyright and similar rights the Source Rights Holder is legally able to license, granted to the Authorized User under this License.

2.5 Modified or Derived Material
Any material created by translating, altering, arranging, transforming, or otherwise modifying the Protected Material in a manner requiring permission under copyright law.

2.6 Non‑Commercial Use Only
Use that is not primarily intended for or directed toward commercial advantage or monetary compensation.

2.7 Distribute or Make Public
Providing material to the public by any method requiring permission under copyright law, including reproduction, public display, public performance, dissemination, or making the material available for on‑demand access.

2.8 Access‑Control Measures
Technological measures that may not be circumvented under applicable law without proper authority.

2.9 Exceptions and Limitations
Fair use, fair dealing, or other statutory exceptions that apply independently of this License.

3. Authorized Rights Granted

Subject to full compliance with this License:

3.1 Non‑Commercial Reproduction and Distribution
The Authorized User may reproduce and Distribute or Make Public the Protected Material, in whole or in part, for Non‑Commercial Use Only.

3.2 Creation of Modified or Derived Material (Private Use Only)
The Authorized User may create Modified or Derived Material for Non‑Commercial Use Only, but may not Distribute or Make Public any Modified or Derived Material.

3.3 Technical Format Changes
The Authorized User may make technical modifications necessary to exercise Authorized Rights, including format shifting and circumvention of Access‑Control Measures solely for this purpose.
Such technical changes do not constitute Modified or Derived Material.

3.4 Downstream Recipients
Every recipient of the Protected Material automatically receives the same Authorized Rights under this License.

4. Restrictions & Prohibited Conduct

The Authorized User may not:

  • Use the Protected Material for commercial advantage or monetary compensation.
  • Distribute or Make Public any Modified or Derived Material.
  • Impose additional terms, restrictions, or technological measures that limit downstream recipients’ Authorized Rights.
  • Imply endorsement, sponsorship, or official status by the Source Rights Holder.
  • Use the Protected Material in violation of any applicable law.

5. Attribution & Credit Requirements

When Distributing or Making Public the Protected Material, the Authorized User must:

  • Identify the creator(s) and any designated attribution parties.
  • Retain any copyright notice provided by the Source Rights Holder.
  • Provide a reference to this License.
  • Provide a reference to any warranty disclaimer.
  • Provide a URI or hyperlink to the Protected Material when reasonably practicable.
  • Indicate if the Protected Material has been modified (for private use only; modified versions may not be shared).

If requested by the Source Rights Holder, the Authorized User must remove attribution information to the extent reasonably practicable.

6. Confidentiality & Non‑Disclosure Obligations

This License does not impose confidentiality obligations on the Authorized User.
However, the Authorized User may not misrepresent the Protected Material as proprietary to MEARVK LLC or any other party.

7. Use‑Case Limitations (Commercial / Non‑Commercial)

All Authorized Rights are limited to Non‑Commercial Use Only.
Exchange of the Protected Material for other copyrighted works via non‑monetary file‑sharing is considered Non‑Commercial, provided no payment is involved.

Any commercial use requires separate permission from the Source Rights Holder.

8. Modification & Derivative Material Rules

  • The Authorized User may create Modified or Derived Material privately.
  • The Authorized User may not Distribute or Make Public any Modified or Derived Material.
  • Databases containing substantial portions of the Protected Material are considered Modified or Derived Material and may not be shared.

9. Distribution & Public Availability Rules

When Distributing or Making Public the Protected Material:

  • All attribution requirements must be met.
  • No additional restrictions may be imposed.
  • No Access‑Control Measures may be applied that limit downstream Authorized Rights.
  • The Protected Material must remain available under this License.

10. Liability, Warranty, and Risk Allocation

10.1 No Warranties
The Protected Material is provided “as‑is and as‑available.”
The Source Rights Holder makes no warranties of any kind, including accuracy, non‑infringement, merchantability, or fitness for a particular purpose.

10.2 Limitation of Liability
To the maximum extent permitted by law, the Source Rights Holder is not liable for any direct, indirect, incidental, consequential, punitive, or exemplary damages arising from use of the Protected Material.

11. Termination & Reinstatement Conditions

11.1 Automatic Termination
Authorized Rights terminate automatically if the Authorized User violates this License.

11.2 Reinstatement
Rights are reinstated:

  • Automatically upon curing the violation within 30 days of discovery, or
  • Upon express reinstatement by the Source Rights Holder.

Termination does not limit the Source Rights Holder’s right to seek remedies.

13. Interpretation & Governing Principles

  • Nothing in this License restricts uses permitted by law without permission.
  • If any provision is unenforceable, it is reformed to the minimum extent necessary; otherwise, it is severed.
  • No term is waived unless expressly agreed by the Source Rights Holder.
  • This License does not waive any legal privileges or immunities.
